Terms of Service

Effective Date: January 1, 2017

These Terms of Service (“Terms”) govern the relationship between Liftoff Visibility (“Agency,” “we,” “us,” or “our”) and the client (“Client,” “you,” or “your”). By engaging Liftoff Visibility for digital marketing services, you agree to these Terms.

1. Scope of Services

Liftoff Visibility provides professional digital marketing services, which may include but are not limited to:

  • Paid advertising management (Google Ads, Meta Ads, and other platforms)
  • Account strategy, optimization, and reporting
  • Conversion tracking and analytics configuration
  • Marketing software, tools, scripts, automations, and proprietary processes

Specific services will be outlined in a separate proposal, agreement, or invoice.

2. Client-Owned Intellectual Property

The Client retains full ownership of all pre-existing and newly created Client-specific assets, including but not limited to:

  • Business name, trademarks, logos, branding, and creative materials supplied by the Client
  • Website content, images, videos, and copy provided or approved by the Client
  • Domains, websites, and hosting accounts owned and paid for by the Client

These assets are considered the Client’s sole intellectual property (“Client IP”).

3. Agency-Owned Intellectual Property

Liftoff Visibility retains sole ownership of all agency-owned assets, accounts, software, tools, systems, and intellectual property (“Agency IP”), including but not limited to:

  • Meta (Facebook/Instagram) Ad Manager accounts
  • Google Ads accounts
  • SEO research tools
  • Other advertising, analytics, automation, tracking, CRM, reporting dashboards, or marketing-related accounts
  • Proprietary software, scripts, dashboards, templates, audiences, data structures, workflows, strategies, optimizations, trained chat-bots, and methodologies
  • Any accounts, platforms, or tools created, owned, licensed, or operated by Liftoff Visibility for professional digital marketing use

All Agency IP is owned exclusively by Liftoff Visibility, regardless of Client payment, performance, or campaign duration.

4. Account Access and Control

All Agency-owned accounts and platforms are:

  • Created, owned, and operated by Liftoff Visibility
  • Accessed by the Client solely at the discretion of Liftoff Visibility

Liftoff Visibility retains full administrative control over all Agency IP at all times.

5. Non-Transferability Upon Termination

Upon termination, cancellation, or expiration of services for any reason:

  • Agency-owned Google Ads accounts, Meta Ad Manager accounts, and other marketing systems will not be transferred to the Client
  • Agency IP remains the exclusive property of Liftoff Visibility

No migration, export, duplication, or recreation of Agency-owned accounts or systems is included.

6. Data Usage and Campaign History

Campaign data, performance history, audiences, and optimizations generated within Agency-owned systems are considered part of Agency IP. The Client may receive summarized reports or insights but has no ownership claim to underlying account structures or historical datasets.

7. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or strategic information exchanged during the course of services. Agency methodologies, strategies, and systems are considered confidential and proprietary.

8. Limitation of Liability

Liftoff Visibility makes no guarantees regarding specific results, revenue, or performance outcomes. To the maximum extent permitted by law, Liftoff Visibility shall not be liable for indirect, incidental, or consequential damages.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state in which Liftoff Visibility operates, without regard to conflict of law principles.

10. Modifications

Liftoff Visibility reserves the right to update or modify these Terms at any time. Continued use of services constitutes acceptance of the revised Terms.

Any client modification requests must be disclosed, reviewed, and mutually agreed upon in writing prior to the start of services.

11. Acceptance

By engaging Liftoff Visibility (https://liftoffvisibility.com), the Client acknowledges that they have read, understood, and agree to these Terms of Service in full.
